These Terms of Service ("Terms") govern your access to and use of Lixxi (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who we are

The Service is operated by lixxi.com ("we", "us", "our").

2. Eligibility and account

2.1 You must be at least 18 years old to use the Service.

2.2 You're responsible for keeping your login details secure and for all activity under your account.

2.3 If you use the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

3. What the Service is (and is not)

3.1 The Service provides AI-generated responses to accounting/tax questions, including citations to UK legislation and manuals where available.

3.2 Not professional advice. The Service provides general information and research assistance only. It is not legal advice, tax advice, accounting advice, or professional advice.

3.3 No reliance. You must use professional judgement and independently verify outputs against authoritative sources before acting, filing, or advising clients. You agree not to rely solely on outputs.

4. Accuracy, sources, and updates

4.1 Outputs may be incorrect, incomplete, misleading, or out of date.

4.2 Laws, guidance, and manuals change frequently. We do not guarantee accuracy, completeness, currency, or applicability to your circumstances.

4.3 Citations are provided for convenience and may not support every part of an output. You are responsible for checking the cited sources.

5. Acceptable use

You must not:

5.1 Use the Service unlawfully or in a way that infringes rights or causes harm.

5.2 Attempt to reverse engineer, scrape, probe, overload, or disrupt the Service.

5.3 Use the Service to facilitate fraud, evasion, or professional misconduct.

5.4 Submit content containing personal data or confidential client information unless you have a lawful basis and all required permissions. We strongly recommend you avoid identifiers (names, NI numbers, UTRs, addresses, payroll details, etc.).

6. Your content, prompts, and outputs

6.1 Your inputs. You retain your rights in content you submit ("Input"). You grant us a worldwide, non-exclusive licence to host, process, and transmit Input to provide the Service, operate security and abuse prevention, and provide support.

6.2 Outputs. Subject to these Terms, you may use generated responses ("Output") for your internal business purposes. Outputs may not be unique and may be similar to outputs provided to other users.

6.3 Third-party AI processing via AWS Bedrock. To generate Output, we send Input (and necessary context) to Amazon Web Services (AWS) using AWS Bedrock (or a similar managed AI service).

6.4 No training on your inputs (current). As of the "Last updated" date, we do not use your Input to train our own models. We configure our service to use managed AI providers for inference and do not intentionally provide your Input for model training.

7. Public pages and sharing

7.1 Curated public content. Any public, indexable content on our website is created or curated by us (not automatically published from your private usage by default).

7.2 Share links. You may be able to create shareable links to certain Q&A. Share links may be accessible to anyone with the link. We may apply technical measures such as "noindex".

7.3 Do not share content containing personal data or confidential client information.

7.4 We may remove or disable shared content at any time (including upon request) if we believe it may breach these Terms, privacy/confidentiality obligations, or law.

8. Plans, billing, and cancellation

8.1 Fees, billing periods, and usage limits are shown at checkout or in your account.

8.2 Subscriptions renew automatically each billing period until cancelled (unless stated otherwise).

8.3 You can cancel at any time; cancellation takes effect at the end of the current paid period unless we state otherwise at checkout.

8.4 Payments are processed by Stripe.

8.5 Taxes: you're responsible for applicable taxes (including VAT where relevant).

9. Intellectual property

9.1 We own (or license) all rights in the Service, software, and branding.

9.2 You must not copy, modify, distribute, sell, lease, or create derivative works from the Service except as permitted by law.

10. Availability and changes

10.1 We may change, suspend, or discontinue any part of the Service.

10.2 We may apply rate limits or fair usage controls.

11. Disclaimers

11.1 The Service is provided "as is" and "as available".

11.2 We do not guarantee uninterrupted operation, error-free outputs, or that outputs will be accurate or current.

12. Liability

12.1 Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or death/personal injury caused by negligence, or any liability that cannot be excluded by law.

12.2 Subject to 12.1, we are not liable for indirect or consequential losses, loss of profits/revenue/goodwill, business interruption, or losses arising from reliance on Output or failure to verify.

12.3 Subject to 12.1, our total liability in connection with the Service is limited to the fees you paid to us in the 3 months before the event giving rise to the claim (or £100 if no fees were paid).

12.4 You are responsible for ensuring your use complies with professional standards, regulatory obligations, and client confidentiality duties.

13. Suspension and termination

13.1 We may suspend or terminate access if you breach these Terms, pose a security risk, or misuse the Service.

13.2 You may stop using the Service at any time.

14. Privacy

Our Privacy Notice explains how we process personal data.

15. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version and update the "Last updated" date. Material changes may be notified via email or in-product.

16. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protections apply.
